TERMS AND CONDITIONS (Updated September 9, 2026) Frank McInenly Auctions Ltd. (hereinafter referred to as "Auctioneer") reserves the right to periodically modify the Terms And Conditions and it is your responsibility to review any changes prior to each sale. Bidder/Buyer agrees in advance to accept any such changes. 1) To participate in any auction, you are required to register on our Site through HiBid. Bidders must be 18 years of age or older. All registration information you provide shall be current, complete and accurate. If you provide false information when registering, you may be suspended or permanently banned from the Site. 2) Bidder agrees when you click the "BID NOW" button on the page, you become the Buyer. You, as the Buyer, also agree you are entering into a legally binding contract with the Auctioneer in which you agree to abide by this agreement in all aspects of your use of the auction site. 3) The security of your account username and password is your sole responsibility, and you are responsible for any bids placed under your bidding account. 4) You agree that: (A) WE CANNOT GUARANTEE THE CONTINOUS OR SECURE OPERATION OF, OR ACCESS TO, OUR MOBILE OR WEB-BASED BIDDING SERVICES, OR OUR ONSITE TERMINAL HARDWARE; (B) OUR SERVERS, NETWORK OR COMMUNICATIONS HARDWARE AND SYSTEMS, OR CERTAIN APPLICATION FUNCTIONALITY, ARE SUBJECT TO FAILURES, OUTAGES AND DELAYS BEYOND OUR CONTROL; (C) WE ARE NOT RESPONSIBLE FOR THE QUALITY, AVAILABILITY, OR PERFORMANCE OF YOUR NETWORK CONNECTIVITY, SOFTWARE OR HARDWARE USED TO CONNECT TO OUR BIDDING SERVICES; (D) YOU ARE SOLELY RESPONSIBLE FOR ALL ACTIVITY UNDER YOUR PROFILE AND ASSOCIATED ACCOUNTS AND ANY ASSIGNED BIDDER NUMBERS ABSENT A KNOWN OR REASONABLY SUBSTANTIATED TECHNOLOGICAL MALFUNCTION OF OUR BIDDING SERVICE; AND (E) BETWEEN YOU AND US, YOU ARE SOLELY RESPONSIBLE FOR ANY MISDIRECTED PAYMENTS (PAYMENTS MADE BY YOU BUT NOT RECEIVED BY US OR VICE VERSA) BY REASON OF ANY UNAUTHORIZED THIRD PARTY USE OF, ACCESS TO, OR CONTROL OF ANY INFORMATION SYSTEM OR DEVICE OR ELECTRONIC COMMUNICATIONS NETWORK USED OR MANAGED BY, OR ON BEHALF OF, YOU OR YOUR FINANCIAL INSTITUTION. WE WILL NOT BE HELD LIABLE FOR ANY ALLEGED DAMAGES OR LOSSES ARISING OUT OF OR RELATING TO ANY OF THE FOREGOING EVENTS REGARDLESS OF LEGAL THEORY OR GROUND. 5) Although the Auctioneer takes great care and diligence in the cataloging of lots offered for Auction, all property is sold "AS IS". For any lot, the product detail page is based on information from the consignor and other sources we believe to be reliable; however, it is merely a guide and not a substitute for conducting your own inspection and inquiries prior to bidding. You acknowledge that we do not guarantee or warrant the accuracy or completeness of any descriptions, photographs or videos. No sale shall be invalidated by reason of the lots being incorrectly or insufficiently described on our website, catalog or elsewhere and we shall bear no liability in respect of any such faults or errors. All parties bidding on the property shall be held to have informed themselves as to the condition, identity and authenticity of lots, and are not entitled to make any objections after the sale on any grounds whatsoever. All items are sold on and "AS IS WHERE IS" basis and no guarantee is given as to their condition or suitability for any purpose. ACCORDINGLY, WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, WE DISCLAIM AND EXCLUDE ANY TYPE OF COMMITMENT TO YOU THAT LOTS: a) CONFORM TO ANY STANDARD REQUIRMENT IN RESPECT OF SAFETY, POLLUTION OR HAZARDOUS MATERIALS OR ESTABLISHED BY ANY APPLICABLE AUTHORITY, CODE, LAW OR REGULATION; b) ARE FIT FOR ANY PARTICULAR PURPOSE: c) ARE MERCHANTABLE OR FINANCEABLE; d) ARE AUTHENTIC OR NON-INFRINGING; e) ARE OF ANY PARTICULAR AGE, YEAR OR MANUFACTURE, MODEL, MAKE OR CONDITION; f) HAVE ODOMETERS OR HOUR METERS VERIFED FOR ACCURACY; g) ARE EXPORTABLE FROM AND/OR IMPORTABLE INTO ANY PARTICULAR PROVINCE OR COUNTRY; h) HAVE ANY SUPPORTING DOCUMENTATION OR OPERATING MANUALS AVAILABLE, OR THAT, IF AVAILABLE, THAT WE HAVE INVESTIGATED THEIR VALIDITY OR AUTHENTICITY; OR i) WILL CONTINUE TO OPERATE OR FUNCTION FOR ANY PARTICULAR PERIOD OF TIME. Bidders are STRONGLY encouraged to view and inspect the auction lots in person during the scheduled viewing times. Take this opportunity to determine the condition, size and whether any item may have been repaired or restored. The Auctioneer will NOT warranty nor give refunds or returns on any items purchased. By placing a bid online, you agree that you have either inspected the respective lot or have waived your right to do so. 6) Online Auction begins and ends at a predetermined date and time. If an item receives a bid during the final minute of the count-down clock, there will be an automatic bidding extension: the bidding clock will be extended by 1 minute - for that lot alone. The time extensions continue until there is a 1 minute period during which no bidding takes place on the lot. This is called a "Soft Close". 7) The highest bid accepted at the lot closing will be the winning bid. The close of a successful bid lot signifies the acceptance of a contract with the Auctioneer, selling as agent for the Consignor. The actual contract of sale is directly between the Seller and the Buyer. 8) Once you place a bid, and if you win, you are obligated to buy that lot. Placing a bid on our Site, winning the lot, then not paying for the purchase may result in prosecution, suspension or permanent ban from registering for future auctions. 9) Online Fees - Fees applying to online auctions are posted. Online/Timed Auction will have a 4% Buyers Fee to a maximum of $1,000/lot - which will be added to your final invoice. Real Estate Auctions are posted online. 4-H Auctions will have NO Buyers Fee added. 10) All auction purchases are subject to Goods and Services Tax (GST) on the bid price and Buyers Fee unless specifically stated otherwise. The bid price DOES NOT include any applicable taxes or auction fees, they will be added to your final invoice. 11) ALL PAYMENTS MUST BE MADE WITHIN 24 HOURS OF THE AUCTION CLOSING. Payments may be made by Cash, Certifiable Cheque, E-Transfer, Bank Draft, Direct Deposit or Debit Card. VISA and Mastercard are accepted but there will be a 3% Surcharge added. WE DO NOT AUTOMATICALLY TAKE PAYMENT FROM THE CARD YOU USED ON FILE WITH HIBID, However, we will try and take payment from the card on file after the 24 hour deadline. If payments are unsuccessful the Auctioneer will revoke future bidding, and report on bidder profile. 12) All lots must be removed within the time announced or posted at online sale at buyer's sole cost and risk. Buyer must have approved load requirements at load out time for lots purchased, if the Auctioneer, and/or its employees feel the load is unsafe we have the right to refuse loading your lots, and you the Buyer will need to make other arrangements at your cost. The buyer agrees that all items are to be removed as per the individual auction information stated. Failure to do so may result in storage fees, and/or relocation of items at the buyer's expense. If items are not removed within the specified time frame items will be deemed "Abandoned" and disposed of by the Auctioneer at its sole discretion with no compensation for the buyer whatsoever. RELEASE OF RIGHTS - You acknowledge that equipment and auction sites, equipment storage sites, and consignor's premises are potentially dangerous items and places, respectively, with equipment being unloaded, loaded and staged. You (on behalf of yourself and your agents and other representatives), including successors and heirs, as applicable, hereby release us and our affiliates, and our and their respective officers, directors, employees and agents, from any and all claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, arising out of in any way connected with any injuries or harm sustained, or for damages to, or loss of, property, which may occur from any cause whatsoever while in attendance at a local auction, storage or consignors premises, or in connection with the loading (including, without limitation, any dismantling, modification, rigging or hot cutting), unloading, transport and subsequent usage of a lot. In entering into this release, you expressly waive any protections (whether statutory or otherwise) that would otherwise limit the coverage of this release to include only those claims which you may know or suspect to exist in your favor at the time of agreeing to this release. You also agree to indemnify and save us and our consignor's harmless from any and all losses and expenses arising out of any claims, demands and causes of action made by third parties as a result of you, your agents, or other representatives attendance at the auction, storage or consignors site, inspection of Lots, or the loading (including, without limitation, any dismantling, modification, rigging or hot cutting), unloading, transport and subsequent usage of a lot. 13) Neither the Auctioneer nor its employees, nor its agents shall be liable for any loss or damage of any kind to the lots after the expiration of seven (7) days from the date of sale closing, whether caused by negligence or otherwise, while any lots is in or under the respective custody or control of the Auctioneer. 14) On no account is a consignor of any auction good allowed to bid on his or how own merchandise. 15) UNDER NO CIRCUMSTANCES WILL ABUSE BE TOLERATED. If the Auctioneer or its Employees feel they have been abused (physical, verbal, or written), you as the buyer will be revoked future bidding, and report on your bidder profile. 16) This agreement comprises the entirety of the contract between the Auctioneer and the Buyer. The Auctioneer shall not be held liable in respect of any representations not made in writing herein. This agreement shall be governed in accordance with the laws of the Province of Alberta. In the event of a dispute hereunder, the Buyer agrees to submit to the exclusive jurisdiction of the provincial courts and the federal courts sitting in the Province of Alberta.
