Whitaker Marketing Group Online Auction Terms & Conditions 1. Acceptance of Terms By registering and placing a bid, you acknowledge that you have read, understand, and agree to these Terms and Conditions. Registration constitutes your electronic acceptance of these Terms and creates a legally binding agreement. Whitaker Marketing Group reserves the right to refuse service, reject any bid, suspend bidding privileges, or deny participation to any person at its sole discretion. The most recent auction announcements, published updates, website notices, or written correspondence from Whitaker Marketing Group shall take precedence over any prior printed materials or verbal statements. 2. Property Condition ALL PROPERTY SELLS AS IS, WHERE IS, WITH ALL FAULTS, and without any warranty or guarantee, express or implied, including but not limited to warranties of merchantability or fitness for a particular purpose. Buyers are solely responsible for conducting all due diligence and determining the age, condition, completeness, authenticity, quality, quantity, value, and suitability of each item prior to bidding. Buyers are bidding on the written description, not the photograph. Photographs are provided only as a convenience and may not accurately represent the lot. Written descriptions shall control over photographs. Items labeled "New," "New in Box," or similar descriptions are still sold AS IS and may not be in retail condition. Buyers should contact Whitaker Marketing Group before bidding if any description, photograph, or lot contents are unclear. Failure to inspect property does not relieve the Buyer of the obligation to complete the purchase. All sales are final. No refunds, returns, exchanges, or chargebacks will be permitted for any reason. 3. Bidding Every bid constitutes a legally binding offer to purchase. Buyers are solely responsible for bidding on the correct lot. Bidding mistakes, misunderstandings, or buyer's remorse do not relieve the Buyer of the obligation to complete the purchase. Bids may not be withdrawn except at the Auctioneer's sole discretion. Soft-close bidding, maximum bidding, bid increments, tie-bid procedures, and other auction rules shall follow the published auction guidelines. The Auctioneer has sole authority to resolve bidding disputes, determine the successful bidder, reject any bid, reopen bidding, or accept bids in any increment deemed to be in the Seller's best interest. Whitaker Marketing Group reserves the right to split, combine, withdraw, postpone, suspend, reopen, extend, reschedule, or cancel any lot or auction to correct clerical errors, software issues, catalog inaccuracies, ownership disputes, or any circumstance necessary to preserve the integrity of the auction. 4. Buyer's Premium & Taxes A published Buyer's Premium will be added to every successful bid. By placing a bid, Buyers acknowledge and agree to pay the hammer price plus the applicable Buyer's Premium. Applicable sales tax will be collected unless a valid exemption certificate has been received and approved prior to payment. Buyers are solely responsible for determining whether a purchase qualifies for tax exemption. 5. Payment Payment is due immediately following the auction unless otherwise announced. Whitaker Marketing Group may automatically charge the payment method on file. Invoices exceeding company-established thresholds may require payment by wire transfer, certified funds, cashier's check, or other approved payment methods. Declined credit cards, returned checks, or failed payment transactions may be subject to administrative or processing fees. Payment in full must be received before any property will be released. Chargebacks are strictly prohibited. Buyers remain responsible for all collection costs, attorney fees, court costs, interest, administrative expenses, and all other costs incurred in collecting unpaid balances. Titled Vehicles & Trailers A $35.00 title processing and administrative service fee will be charged for each titled vehicle, trailer, or other titled asset purchased, unless otherwise announced. This fee is in addition to the purchase price, Buyer's Premium, applicable taxes, and any other published fees. Buyers are responsible for providing all information and documentation necessary to complete the title transfer. Failure to complete the title transfer or provide required documentation does not relieve the Buyer of payment obligations or applicable fees. Credit Card Verification  A valid credit or debit card is required to register for all online auctions. Upon registration, Whitaker Marketing Group may place a $1.00 pre-authorization hold on the payment method provided to verify the card's validity and the bidder's ability to pay. This is not a charge. The pre-authorization will be released by your financial institution in accordance with its policies and processing times. Failure of the payment method to successfully authorize may result in the denial or suspension of bidding privileges. 6. Pickup & Removal Pickup is available only during the published pickup dates and times. Buyers must bring adequate labor, loading equipment, vehicles, packing materials, and any tools necessary to safely remove their purchases. Buyers must verify all purchased lot numbers against their invoice before leaving the pickup location. A paid invoice must be presented before any property will be released. Buyers who are unable to attend pickup must arrange for an authorized representative to retrieve their purchases. Any property not removed by the published deadline shall be considered abandoned without refund and may be resold, donated, disposed of, or otherwise handled at Whitaker Marketing Group's sole discretion. Storage fees, labor charges, loading fees, hauling charges, disposal fees, convenience fees, or other administrative charges may apply. Buyers who require Whitaker Marketing Group staff to assist with loading or who fail to arrive prepared may be charged reasonable labor or handling fees. 7. Shipping Shipping is available only when specifically advertised. Buyer is responsible for all shipping, packaging, handling, insurance, and carrier charges. Firearms will only be shipped to a valid Federal Firearms License (FFL) holder in accordance with all applicable federal and state laws. Risk of loss transfers to the Buyer immediately upon being declared the successful bidder. Whitaker Marketing Group is not responsible for carrier delays, shipping errors, loss, theft, or damage occurring after items have been tendered to the shipping carrier. 8. Internet Bidding Internet bidding is offered solely as a convenience. Whitaker Marketing Group is not responsible for internet outages, software failures, website interruptions, communication delays, email delivery failures, system errors, or any technical issues that prevent bidding or notification. Buyers are strongly encouraged to utilize the Maximum Bid feature if they are unable to actively monitor the auction. Buyers are responsible for maintaining accurate contact information, including email address, billing information, mailing address, and telephone number. 9. Liability Buyers assume all risk of loss immediately upon being declared the successful bidder. Buyers assume all risks associated with inspection, pickup, loading, transportation, possession, use, and removal of purchased property. Buyers are responsible for all damage to persons or property occurring during removal. Buyers agree to defend, indemnify, and hold harmless Whitaker Marketing Group, the Seller, property owners, employees, contractors, affiliates, agents, and representatives from any claims, damages, injuries, losses, liabilities, costs, or expenses arising from the purchase, ownership, transportation, removal, or use of purchased property. 10. Default Failure to comply with these Terms constitutes default. Upon default, Whitaker Marketing Group may, without limitation: Cancel the sale; Retain any deposits or payments as liquidated damages where permitted by law; Resell the property at public or private sale; Hold the Buyer responsible for any deficiency between the original purchase price and resale price; Recover all collection costs, attorney fees, court costs, interest, administrative expenses, and all other damages allowed by law; Suspend or permanently revoke bidding privileges; and Pursue any additional remedies available under applicable law. 11. Legal Provisions These Terms and Conditions shall be governed by the laws of the State of Iowa. Exclusive venue for any dispute shall be the appropriate state or federal court located within the State of Iowa unless otherwise required by law. If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Failure by Whitaker Marketing Group to enforce any provision shall not constitute a waiver of future enforcement. These Terms and Conditions, together with any published auction announcements, auction-specific terms, and written notices issued by Whitaker Marketing Group, constitute the entire agreement between the parties regarding the auction.
