Updated February 14, 2026 (Personal Property) These Bidder Terms and Conditions apply to auctions conducted by Coastal Real Estate & Auction Group LLC (“Auctioneer”), and constitute a legal, valid, binding, and enforceable contract between Auctioneer and YOU. Together with any written purchase and sale agreement between YOU and the Seller of any Lot, these Bidder Terms and Conditions form the basis for the contract of sale between YOU and the Seller if YOU are the Winning Bidder on any Lot. 1. AUCTION CONDUCTED UNDER AND IN ACCORDANCE WITH THESE BIDDER TERMS AND CONDITIONS The Auction is conducted under and in accordance with these Bidder Terms and Conditions, any and all other Terms and Conditions posted by Auctioneer (whether at the Auction Site or online), any announcements or corrections made by Auctioneer at the time of the Auction, and applicable law. YOU ACKNOWLEDGE AND AGREE THAT YOU HAVE HAD A FULL AND FAIR OPPORTUNITY TO REVIEW THESE BIDDER TERMS AND CONDITIONS, THAT YOU HAVE READ THESE BIDDER TERMS AND CONDITIONS, THAT YOU UNDERSTAND THESE BIDDER TERMS AND CONDITIONS, AND THAT YOU ACCEPT AND AGREE TO BE BOUND BY THESE BIDDER TERMS AND CONDITIONS. YOUR participation in the Auction, whether at the Auction Site, online, telephonically, or through any other means (including Absentee Bid), is further evidence of YOUR agreement to be bound by, and to abide by, all Bidder Terms and Conditions. 2. ELECTRONIC CONTRACTING YOU FURTHER ACKNOWLEDGE AND AGREE THAT (i) YOUR REGISTRATION, BIDDING, AND/OR ACCEPTANCE OF AN INVOICE CONSTITUTES YOUR ELECTRONIC SIGNATURE; (ii) THESE BIDDER TERMS AND CONDITIONS CONSTITUTE A “WRITING” AND AN “AGREEMENT” FOR ALL PURPOSES; AND (iii) AUCTIONEER MAY MAINTAIN THESE BIDDER TERMS AND CONDITIONS, BID LOGS, PLATFORM LOGS, INVOICES, RECEIPTS, PICK-UP RECORDS, SHIPPING RECORDS, AND COMMUNICATIONS IN ELECTRONIC FORM, ALL OF WHICH SHALL BE ADMISSIBLE TO THE MAXIMUM EXTENT PERMITTED BY LAW. 3. AUCTION CONDUCTED IN THE COMMONWEALTH OF VIRGINIA The Auction is conducted in the Commonwealth of Virginia. All Lots are offered for sale in the Commonwealth of Virginia, and will be sold and delivered in the Commonwealth of Virginia. Notwithstanding YOUR physical location, these Bidder Terms and Conditions are entered into in the Commonwealth of Virginia, all bids and payments are received in the Commonwealth of Virginia, and all contracts between Seller and Buyer are formed and entered into in the Commonwealth of Virginia, and all Lots will be delivered in the Commonwealth of Virginia. 4. ALL TRANSACTIONS IN U.S. DOLLARS All transactions, and payments associated with the Auction are in U.S. Dollars. 5. DEFINITIONS The following definitions apply to these Bidder Terms and Conditions for each auction conducted by Auctioneer: “Absentee Bid” means a bid submitted to Auctioneer by an Absentee Bidder for the execution during the Auction under terms established by Auctioneer. “Absentee Bidder” means a person or entity that submits an Absentee Bid. An Absentee Bidder may or may not be physically present at the Auction Site during the Auction. “Absolute Auction” or “Absolute” applies only if and when expressly indicated in writing and means that property is sold to the highest bidder regardless of the amount of the final bid, with no limiting conditions, restrictions, or reservations. Provided that a bid is received within a reasonable time after bidding opens on a Lot, the Lot will be sold to the highest bidder regardless of the final bid amount. UNLESS SPECIFICALLY AND EXPRESSLY STATED BY AUCTIONEER IN WRITING, NO LOT IS BEING EXPOSED FOR SALE AT ABSOLUTE AUCTION OR WITHOUT RESERVE. “Auction” means an auction conducted by Auctioneer. “Auction Site” means the physical location where the Auction is conducted and/or where the Property is located, and/or where inspections may be made, and/or where pick-up occurs. “Bidder” means any person or entity (and the agents or representatives of any such person or entity) that registers, and/or bids, and/or buys, and/or otherwise participates in the Auction (including, without being limited to, inspection and/or pick-up), regardless of whether such person or entity tenders a bid. “Bidder Account” means the online account identified to a Bidder by Auctioneer or by an Online Auction Platform Provider on Bidder’s Registration. “Bidder Number” means the number or other identifier issued by Auctioneer to a Bidder for the purposes of identifying bids to such Bidder. “Bidder Registration” means the registration of a Bidder to participate at the Auction, including the information provided by a Bidder, and the Bidder’s agreement to be bound by these Bidder Terms and Conditions. “Bidder Terms and Conditions” means these Bidder Terms and Conditions. “Buyer” means the Winning Bidder on a Lot. “Buyer’s Premium” is a non-refundable administrative fee calculated as a percentage of the Hammer Price that is payable by the Buyer of each Lot to Auctioneer for Auctioneer’s own account. The Buyer’s Premium is earned by Auctioneer, and becomes Auctioneer’s property, at the Fall of the Hammer. “Commission” means the amount payable by or on behalf of Seller to Auctioneer for Auctioneer’s services. “Contract Price” means an amount equal to the Hammer Price plus the Buyer’s Premium. Any sales tax or similar such taxes or fees will be based on the Contract Price. “Delivery” means the transfer of possession of a Lot to the Buyer. Unless otherwise stated in writing, Delivery of a Lot will occur where the Lot is physically located during the Auction. “Fall of the Hammer” means the point, after bids have been received, at which Auctioneer declares a Lot “sold” to the Bidder acknowledged by Auctioneer as having made the Winning Bid. “Hammer Price” means the High Bid amount recognized by Auctioneer with the Fall of the Hammer. “High Bid Subject to Confirmation” means the high bid amount recognized by Auctioneer at the conclusion of bidding on a Lot that is Subject to Seller's Confirmation. “High Estimate” and “Low Estimate” mean amounts that Auctioneer anticipates that a Lot may bring at the high or low end of a spectrum. Estimates are not valuations or appraisals. “Lot” means each individual item or grouping of items exposed for sale at one time by Auctioneer. “No Sale” occurs if bidding opens on a Lot, but the Lot is not sold because Auctioneer passes the Lot or declares a No Sale. “Online Auction Platform” means the hardware and software utilized to conduct the Auction online. “Private Sale” means an event in which Property is sold by Seller, or on Seller’s behalf, other than at the Auction. “Registration Deposit” means, if required by Auctioneer, the deposit made by a Bidder in order to register for the Auction. “Reserve” or “With Reserve” means that property may be withdrawn by Auctioneer and/or bids may be rejected by Auctioneer prior to the Fall of the Hammer. UNLESS SPECIFICALLY AND EXPRESSLY STATED OTHERWISE BY AUCTIONEER IN WRITING, ALL LOTS ARE BEING EXPOSED FOR SALE WITH RESERVE. “Reserve Price” means the minimum price that Seller is willing to accept for a specific Lot. “Seller” means the person or entity having title to a Lot and/or having the power and authority to sell. “Subject to Seller's Confirmation” means that after the High Bid has been received, Seller may determine to accept, reject, or negotiate a higher price. “Winning Bid” means the highest bid received and accepted. “Withdrawn” refers to the circumstance in which a Lot is removed from the Auction. 6. BIDDER REGISTRATION; BIDDER QUALIFICATION; PERSONAL GUARANTEE YOU must register to bid and provide a valid credit card. Auctioneer may place a temporary hold against YOUR card for verification purposes. PERSONAL GUARANTEE: If a bid is made by or on behalf of a corporation, LLC, or other entity, the individual registering the account and/or making the bid hereby personally guarantees payment of the Contract Price and performance of all obligations under these Bidder Terms and Conditions. YOU are responsible for all acts and omissions that occur using YOUR Bidder Number and/or Account. 7. BIDDER’S AFFIRMATIVE DUTY TO INQUIRE YOU acknowledge and agree that YOU have an affirmative duty to inquire about any condition, detail, or aspect of a Lot prior to bidding. YOUR failure to inquire shall not constitute grounds for a dispute, refund, or rescission of sale. Auctioneer is not responsible for YOUR failure to become fully informed. 8. TAX-EXEMPT STATUS If YOU are exempt from payment of sales tax, YOU must submit a completed copy of Auctioneer’s tax-exempt form prior to the close of bidding; and YOU must submit a new form for every Auction. YOU agree to indemnify Coastal Real Estate & Auction Group LLC and Seller from any claims by taxing authorities if YOUR status is denied. 9. ACCESS TO AUCTION SITE; ASSUMPTION OF RISK; NO BAILMENT; LIMITATION OF LIABILITY YOU assume all risks in connection with YOUR participation, including risks arising from YOUR presence at the Auction Site. The site may be a potentially dangerous place with hazardous substances, live electricity, and heavy machinery. NO BAILMENT OR WAREHOUSEMAN RELATIONSHIP IS CREATED BY AUCTIONEER’S TEMPORARY POSSESSION OF ANY LOT(S). 10. NATURE OF THE AUCTION UNLESS EXPRESSLY STATED OTHERWISE IN WRITING, THE AUCTION IS WITH RESERVE. Auctioneer may Withdraw any Lot prior to the Fall of the Hammer on such Lot. 11. BID INCREMENTS Bid increments are established and controlled by Auctioneer, and may be adjusted or modified in Auctioneer’s sole and absolute discretion. 12. ABSENTEE BIDS; REMOTE BIDDING In Auctioneer’s discretion, Auctioneer may receive Absentee Bids. Auctioneer will make reasonable efforts to execute Absentee Bids, but will have no liability for the failure to execute any Absentee Bids for any reason whatsoever. 13. BUYER'S PREMIUM AND CONVENIENCE FEE Each Lot is subject to a Buyer's Premium of 15% of the Hammer Price. A 3% convenience fee will be applied to all credit card transactions. The Buyer’s Premium is earned at the Fall of the Hammer and will not be refunded. 14. SPECIAL TERMS FOR ONLINE AUCTIONS 14.1. POSTED TIMES: Unless stated otherwise, all posted times refer to the local time zone at the Auction Site (Eastern Time). 14.2. ONLINE BIDDING: Online bids may be submitted as a single advancing bid or a maximum bid. 14.3. TECHNOLOGY DISRUPTIONS: Auctioneer is not responsible for technology disruptions, including loss of connectivity or failure to record bids. 14.4. FAILURES BY PROVIDERS: Under no circumstances will Auctioneer be liable for any failure of the Online Auction Platform Provider(s) to perform. 14.5. STAGGERED CLOSING (Dynamic Bidding): If a bid is placed within the final minute of a Lot’s countdown, the closing time will typically extend by one (1) minute. 14.6. DISCLAIMER: THE ONLINE PLATFORM IS PROVIDED ON AN “AS IS” BASIS WITHOUT WARRANTIES OF ANY KIND. 14.7. RESTRICTIONS ON USE: YOU agree not to use any hardware or software that would interfere with the orderly conduct of the Auction. 14.8. REPORTING BIDDING ERRORS: If YOU mistakenly increase YOUR own bid, contact Coastal Real Estate & Auction Group LLC at 757-482-7192 immediately. Reversal of any bid is at the sole and absolute discretion of Auctioneer. Auctioneer is under no obligation to reverse, alter, or cancel any bid. 14.9. SECURITY OF BIDDER ACCOUNT: YOU are responsible for maintaining YOUR password. 15. NO BID RETRACTION; IRREVOCABLE OFFER Without Auctioneer’s consent, YOU may not retract or revoke a bid. YOUR bid constitutes an irrevocable offer. 16. RESPONSIBILITY FOR BIDS YOU are responsible for all bids made using YOUR Bidder Number or Account. YOUR failure to inspect a Lot will not be grounds for a refusal to pay. 17. CONDUCT OF THE AUCTION Auctioneer will regulate all matters relating to the conduct of the Auction and Auctioneer’s decisions will be final and binding. Auctioneer may reopen bidding if a dispute arises. 18. BIDDING BY OR ON BEHALF OF SELLER Seller reserves the right to bid at the Auction. Seller, or those acting on Seller's behalf, may bid on any Lot(s) unless expressly identified as Absolute. 19. WITHDRAWAL BY AUCTIONEER Unless specific Lots are exposed for sale at Absolute Auction, Auctioneer has the right to withdraw any Lot from the Auction at any time prior to the Fall of the Hammer. 20. ALL PROPERTY SOLD “AS IS,” “WHERE IS,” AND “WITH ALL FAULTS” EACH LOT IS SOLD IN ITS AS-IS CONDITION WITH ALL FAULTS. NEITHER AUCTIONEER NOR SELLER MAKES ANY REPRESENTATIONS, WARRANTIES, OR GUARANTEES WHATSOEVER. NO VERBAL WARRANTY: No employee or agent of Auctioneer is authorized to make any warranty or representation, oral or written, regarding any Lot, and YOU agree not to rely on any such statement. 21. FIREARMS AND RESTRICTED ITEMS Lots consisting of firearms or ammunition are sold in strict accordance with Federal and Commonwealth of Virginia laws. Such Lots must be processed through a licensed Federal Firearms Licensee (FFL). Buyer is responsible for all FFL transfer fees and background check costs. Failure to pass a background check does not entitle Buyer to a full refund. If YOU fail a background check, the Lot will be deemed abandoned and subject to immediate resale by Auctioneer. YOU will be liable for a restocking fee of 20% of the Contract Price, plus any shortfall on the resale of the firearm and the administrative costs of resale. 22. INSPECTION; PHOTOGRAPHS AND IMAGES; DUE DILIGENCE By bidding, YOU acknowledge YOU have had a full opportunity to inspect the Lot(s). Photographs are for identification only; YOU are bidding on the Lot as described in the “Lot Details.” 23. RELIANCE ON “LOT DETAILS”; DISPUTES; FOUND PROPERTY YOU are only entitled to items described in the “Lot Details.” If YOU come into possession of items not identified in the Lot Details, YOU must promptly return them to Auctioneer. 24. DESCRIPTION OF LOTS Any description of a Lot is based solely on visual impression and is given solely for identification purposes. 25. WINNING BID; BUYER The Bidder making the Winning Bid, as certified by Auctioneer, will be the Buyer of such Lot. 26. NOTICE; WINNING BIDDERS SUBJECT TO CERTIFICATION; RECORDS Auctioneer may immediately charge YOUR credit card on file for the Contract Price. Auctioneer’s determination of the Winning Bidder is final. 27. CONTRACT OF SALE FOR PERSONAL PROPERTY No additional writing is required to evidence the existence of a contract of sale. These Terms and Conditions are incorporated into the contract of sale. 28. ALL SALES FINAL ALL SALES ARE FINAL. NO REFUNDS OR RETURNS EXCEPT AS EXPRESSLY PROVIDED HEREIN. 29. LIMITATION OF LIABILITY; TYPOGRAPHICAL ERRORS Auctioneer will not be held liable for typographical errors, misprints, or failure of equipment. 30. ANNOUNCEMENTS Announcements made by Auctioneer on the day of the Auction take precedence over any advertisements or listings. 31. AUCTIONEER’S RECORDS CONCLUSIVE Absent clerical errors, Auctioneer’s records will be final and conclusive. 32. TITLE Title and ownership of the Lot will not pass from the Seller to YOU until payment is made and clears. 33. PAYMENT; AUTHORIZATION TO CHARGE; DECLINES; COLLECTIONS Except as expressly provided in Section 34 for high-value or restricted Lots, YOU authorize Auctioneer to charge the payment method on file for the Contract Price, taxes, and fees immediately following the close of the Auction. Payment must be made in full within Twenty Four (24) hours of the close of the Auction. 34. SPECIAL PAYMENT TERMS FOR CERTAIN LOTS Precious metals, currency, coins, or any Lots with a Contract Price of $1000.00 or more must be paid by Cashier’s Check, or Bank Wire Transfer, Cashier’s checks should be made payable to Coastal Real Estate & Auction Group LLC, 315 Great Bridge Blvd., Suite G, Chesapeake, Virginia 23320. 35. FAILURE TO PAY; DEFAULT; RESALE If YOU fail to pay, YOU are deemed to have abandoned interest in the Lot but remain liable for the Contract Price, any shortfall on resale, and all costs associated with the resale, including additional Auctioneer commissions, marketing costs, and storage fees. 36. POSSESSION AND RISK OF LOSS Risk of loss passes to YOU at the Fall of the Hammer (onsite) or when delivered to a carrier or picked up by YOU (remote). 37. CALCULATION OF SALES TAX; SALES TAX DISPUTES Sales tax will be calculated based on the Contract Price (Hammer Price plus Buyer’s Premium). 38. DELIVERY AND REMOVAL Delivery occurs at the physical location of the Lot in the Commonwealth of Virginia. SALES TAX: Sales tax is determined by the point of delivery. If YOU pick up in Virginia, YOU pay Virginia sales tax, regardless of residency. 39. WORKMANLIKE REMOVAL; SAFETY YOU are responsible for the disassembly and removal of Lots. SAFETY: Any person performing removal must use proper equipment and safety gear. Auctioneer reserves the right to stop any removal process deemed unsafe or damaging, at the Bidder's sole expense. 40. ABANDONED PROPERTY AND LIQUIDATED DAMAGES Any Lot not removed within fourteen (14) calendar days of the Auction close, regardless of payment status, shall be deemed abandoned. The accrual of storage fees or late removal fees under Sections 41 and 42 does not extend this fourteen (14) day abandonment window. LIQUIDATED DAMAGES: YOU agree that the forfeiture of payment for abandoned items constitutes liquidated damages and not a penalty, representing a reasonable estimate of the Auctioneer’s administrative costs, storage expenses, and lost opportunity. Coastal Real Estate & Auction Group LLC may resell, donate, or discard such items without further notice. 41. STORAGE FEES Beginning one (1) day after the scheduled pick-up, a storage charge of Fifty Dollars ($50.00) per Lot per day will accrue. 42. DISCRETIONARY LATE REMOVAL POLICY Auctioneer may, in its sole discretion, allow for late removal in exchange for a Late Removal Fee ($150 for the first hour, $50 thereafter). 43. SHIPPING ASSISTANCE; SHIPMENT CONTRACT; CLAIMS DEADLINES Shipping assistance is available for additional fees. All shipping arranged by Auctioneer is F.O.B. Chesapeake, Virginia. 44. CLAIMS FOR NON-DELIVERY; LIMITED REMEDY YOU must notify staff and file a claim within twenty-four (24) hours of discovery. If Auctioneer or Seller is unable to deliver a Lot due to loss, theft, damage, or administrative error prior to YOUR taking possession, YOUR sole and exclusive remedy is limited to a full refund of the Hammer Price actually paid, plus any applicable Buyer’s Premium and sales tax paid. Under no circumstances will Auctioneer be liable for incidental, consequential, or special damages, or loss of profits. 45. RETURNED CHECKS Any checks returned unpaid will be subject to a returned check fee of $50.00. 46. NO STOP PAYMENT ORDERS OR CREDIT CARD CHARGEBACKS YOU agree not to issue a stop payment or initiate a chargeback. CONTACT-FIRST REQUIREMENT: YOU must contact Auctioneer at 757-482-7192 and provide at least three (3) business days to resolve the issue. ADMIN FEE & CONSEQUENCES: YOU agree to pay an administrative fee of $75.00 per chargeback initiated in violation of these terms. Furthermore, initiating a chargeback will result in the permanent suspension of YOUR Bidder Account, and Auctioneer reserves the right to report any unpaid balances or fees to credit bureaus and/or collection agencies. 47. BUYER REMEDIES; NO INCIDENTAL OR CONSEQUENTIAL DAMAGES The sole and exclusive remedy available to YOU is a return of the Hammer Price actually paid. 48. DISPUTE RESOLUTION AND DEFAMATION Bidder agrees to participate in good faith in the formal dispute resolution process, including mandatory mediation, before initiating any legal action. Bidder agrees not to make any false, defamatory, or maliciously inaccurate public statements regarding Coastal Real Estate & Auction Group LLC, its staff, or the Seller. Nothing in this section shall be construed to prohibit lawful, truthful consumer reviews in accordance with the federal Consumer Review Fairness Act. 49. FORCE MAJEURE Auctioneer shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including weather, power outages, strikes, or pandemics. 50. INDEMNIFICATION YOU agree to indemnify and hold Auctioneer and Seller harmless from all claims or liabilities related to YOUR participation in the Auction. 51. PRIVATE SALE If YOU purchase Property scheduled for Auction in a Private Sale within ten (10) days after the Auction, YOU and Seller are jointly and severally responsible for Auctioneer’s full Commission and Buyer’s Premium. 52. RELATIONSHIP OF THE PARTIES Auctioneer is acting solely as Seller’s agent. Auctioneer is not YOUR agent. 53. MAILING LIST; AUDIO AND VIDEO RECORDING YOU consent to being included in audio, video, or photographic recordings at the Auction Site for security or commercial purposes on a royalty-free basis. 54. MANDATORY MEDIATION Prior to filing any lawsuit, the parties agree to participate in good-faith mediation in Chesapeake, Virginia, with the costs of the mediator to be shared equally. 55. GOVERNING LAW; JURISDICTION; VENUE; WAIVER OF JURY TRIAL These terms are governed by the laws of the Commonwealth of Virginia. Exclusive venue shall be the state or federal courts sitting in and for Chesapeake, Virginia. YOU WAIVE THE RIGHT TO A JURY TRIAL. 56. ATTORNEYS’ FEES If YOU breach YOUR obligations, Auctioneer and/or Seller will be entitled to recover all costs and expenses, including attorneys’ fees. 57. ACCEPTANCE OF BIDDER TERMS AND CONDITIONS YOU acknowledge YOU have read, understand, and accept these Terms and Conditions. 58. WAIVER Auctioneer and/or Seller may waive any provisions intended for their benefit, but such waiver does not constitute a waiver of any other provision. 59. PUBLIC HEALTH; COMMUNICABLE DISEASE RISK YOU voluntarily agree to release and hold harmless Auctioneer from liabilities related to communicable disease risks at the Auction Site. 60. SEVERABILITY If any provision is held invalid, the remainder shall remain in full force and effect. 61. HEADINGS; INTERPRETATION Headings are for convenience only. 62. ENTIRE AGREEMENT; ORDER OF PRECEDENCE These Terms constitute the entire agreement. ORDER OF PRECEDENCE: Announcements made by the Auctioneer on the day of the Auction or specific terms in a Lot description shall take precedence over these general Terms. 63. MODIFICATION; VERSION CONTROL Auctioneer may modify these Terms. The version in effect at the time YOU bid shall govern. 64.
